Revgentic Limited Terms of Service

These Terms of Service ("Terms") govern your access to and use of Revgentic's services, including its web application, desktop application and related features and functionality (together, the "Services").

By clicking to accept these Terms, signing up for an account, downloading or using the desktop application, accessing the web application, or otherwise accessing or using the Services, you confirm that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

In these Terms, "Revgentic", "we", "us" and "our" means Revgentic Limited, incorporated and registered in England and Wales with company number 16312301, whose registered office is at 124-128 City Road, London, England, EC1V 2NX.

In these Terms, "you" and "your" mean the individual person accessing or using the Services.

Please also review our Privacy Notice, which explains how we collect and use personal data relating to your use of the Services.

Who these Terms apply to

These Terms apply to any individual who accesses or uses the Services, including where you:

  • use the Services directly;
  • are invited to use the Services by your employer or another organisation;
  • access the Services as part of a free trial, test, pilot, proof of concept or other evaluation use; or
  • access the Services under a subscription, licence or seat purchased by another person or entity.

If you are using the Services on behalf of, or as part of access provided by, a business, employer or other organisation, that business, employer or organisation may have separately agreed commercial terms, platform terms, an order form, or another agreement with Revgentic governing its purchase and use of the Services (the "Customer Agreement").

If there is any conflict between these Terms and the Customer Agreement, the Customer Agreement shall prevail to the extent of that conflict in relation to the relevant workspace, account, subscription or Services provided to that customer.

About the Services

The Services are Revgentic's commercially available software-as-a-service platform, including related web-based and desktop application functionality, and may include integrations, artificial intelligence features, beta or preview functionality and other related services made available by Revgentic from time to time.

The Services may allow you to access, create, upload, input, receive, review or use information, notes, prompts, summaries, recommendations, insights and other content or materials.

The Services may also include features that use artificial intelligence, machine learning, large language models, automated assistance or similar technologies ("AI Features").

We may modify, update, improve, replace, suspend or remove any part of the Services from time to time, including where reasonably necessary for security, maintenance, legal, technical or commercial reasons.

How you accept these Terms

You accept these Terms by:

  • clicking an "accept", "agree", "continue" or similar button in relation to these Terms;
  • creating an account for the Services;
  • downloading, installing, accessing or using the desktop application;
  • accessing or using the web application; or
  • continuing to access or use the Services after being notified of an update to these Terms.

If you are accepting these Terms in the course of using the Services for or on behalf of a business, employer or other organisation, you confirm that you are doing so in your capacity as a user of the Services, and not necessarily as the contracting customer for the relevant subscription unless separately agreed with Revgentic.

Accounts, eligibility and access

You must be at least 18 years old, or otherwise old enough to enter into a legally binding agreement under the laws applicable to you, to access or use the Services.

You must only use the Services for lawful purposes and in accordance with these Terms.

You are responsible for ensuring that any information you provide when creating or using your account is accurate, complete and kept up to date.

You must keep your login credentials, passwords and account access details secure and confidential.

You must not share your account credentials with any other person or permit any other person to access the Services using your account, unless expressly permitted by Revgentic or by the relevant Customer or workspace administrator through the Services.

You must notify Revgentic promptly if you know or reasonably suspect that your account, password or access credentials have been lost, stolen, compromised or used without authorisation.

Revgentic may carry out such checks as it reasonably considers appropriate in connection with account creation, access to the Services, security, fraud prevention, sanctions compliance, export control compliance, or protection of the integrity of the Services.

Revgentic may refuse, suspend, restrict or terminate your account or access to the Services where it reasonably considers this necessary for security, legal, operational or compliance reasons.

If you use Revgentic through an employer or other organisation

If you use the Services as part of a workspace, team, subscription or account made available to you by an employer, client or other organisation (the "Customer"), you acknowledge that:

  • the Customer may control or administer your access to the Services;
  • the Customer may be able to provision or deprovision your access, manage permissions, manage integrations, manage retention settings, export settings or other workspace settings, and access or control information made available through the workspace, to the extent permitted by the Services and the applicable Customer Agreement; and
  • your use of the Services may also be subject to the Customer's internal policies, instructions or permissions.

If you access the Services through a Customer, that Customer is responsible for its own deployment and use of the Services at organisation level, including how it assigns access, configures the Services and manages its workspace.

If you wish to stop using the Services in connection with a Customer workspace, or if you have questions about your access to that workspace, you should first contact the relevant Customer or workspace administrator.

Your right to use the Services

Subject to these Terms and any applicable Customer Agreement, Revgentic grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for their intended purpose.

Your right to use the Services includes the right to download, install and use the desktop application, where made available by Revgentic, solely in connection with your permitted use of the Services under these Terms.

You must not use the Services in any way that is outside the scope of these Terms, the intended functionality of the Services, or any applicable Customer Agreement.

Your right to use the Services will continue only for so long as:

  • your account remains active;
  • your access has not been suspended or terminated;
  • any applicable free trial, pilot, test access or subscription remains in force; and
  • you continue to comply with these Terms.

Your responsibilities when using the Services

You must use the Services responsibly, lawfully and in good faith.

You must not:

  • use the Services in a way that breaches any applicable law or regulation;
  • use the Services in a way that is fraudulent, misleading, harmful, abusive, threatening, defamatory, obscene or otherwise unlawful;
  • upload, input, transmit or otherwise use any material containing malware, viruses, malicious code or other harmful components;
  • interfere with, disrupt or attempt to gain unauthorised access to the Services or any systems or networks connected to them;
  • copy, modify, duplicate, frame, mirror, republish, scrape, crawl, spider, download, display, transmit, distribute or otherwise exploit any part of the Services except as expressly permitted by these Terms;
  • reverse engineer, decompile, disassemble or otherwise attempt to derive source code, underlying ideas or underlying structure from the Services, except to the extent such restriction cannot lawfully be excluded;
  • use the Services in a way that places an unreasonable or disproportionate burden on the Services or related infrastructure; or
  • use the Services for any purpose outside their reasonably intended use.

A breach of this clause may result in suspension or termination of your access to the Services.

Recording, notices, consents and lawful use

You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including laws relating to privacy, data protection, employment, monitoring, electronic communications, call recording and the recording, transcription or analysis of conversations or other communications.

Before using any feature of the Services in connection with a call, meeting, conversation or other communication, you must ensure that you have given any required notices and obtained any required consents, permissions or other lawful basis needed for that use.

If the Services include any in-call, in-meeting or other notification feature, you are responsible for deciding whether and how to use that feature, and for ensuring that your use of the Services remains lawful in the relevant circumstances.

If you use the Services through an employer, client or other organisation, you acknowledge that your use may also be subject to that organisation's internal policies and instructions. However, as between you and Revgentic, you remain responsible for your own use of the Services and for ensuring that your conduct complies with applicable law.

Revgentic provides the Services as a tool only. Revgentic does not determine whether your use of any recording, transcription, note-taking, summarisation, monitoring or analysis feature is lawful in your circumstances, and does not assume responsibility for that decision.

AI features and outputs

The Services may include AI Features that generate or assist with prompts, notes, summaries, recommendations, suggested actions, insights or other outputs.

AI-generated outputs may be inaccurate, incomplete, out of date, misleading or unsuitable for your intended purpose.

You are responsible for reviewing and verifying any outputs generated through the AI Features before relying on them.

You must not use AI-generated outputs as the sole basis for making decisions that produce legal, employment, financial or similarly significant effects on any individual.

You remain solely responsible for all decisions, actions and omissions made in reliance on the AI Features or any outputs generated through them.

Revgentic may update, modify, suspend, reduce or remove AI Features from time to time, including where reasonably necessary because of changes in law, regulatory guidance, third-party provider requirements, technical limitations, security concerns or product development decisions.

Third-party integrations

The Services may allow you to connect, access or use third-party platforms, applications, tools or integrations, including CRM, communications or productivity tools.

You are responsible for ensuring that you have all necessary rights, permissions and authority to connect, access and use any such third-party platform, application or integration in connection with the Services.

You must comply with any applicable third-party terms and conditions when using the Services with any third-party platform, application or integration.

Revgentic is not responsible for any third-party platform, application, integration, content, service or system, or for any failure, unavailability, change or removal of the same.

Revgentic may modify, suspend or discontinue any integration or interoperability feature at any time where reasonably necessary for legal, technical, security, commercial or operational reasons.

Beta or preview features

Revgentic may make available beta, preview, pilot, experimental or other pre-release features or functionality ("Beta Features") from time to time.

Beta Features are provided for evaluation and testing purposes only, are provided "as is" and "as available", and may contain errors, defects, limitations or reduced functionality.

Revgentic may modify, suspend or discontinue any Beta Feature at any time without notice and without liability to you, except to the extent liability cannot be excluded by law.

Unless expressly stated otherwise by Revgentic, Beta Features are not subject to any service availability, support, warranty or other commitments that may apply to generally available parts of the Services.

Suspension and termination

Revgentic may suspend, restrict or terminate your access to all or part of the Services immediately if:

  • you breach these Terms;
  • Revgentic reasonably suspects that you have breached these Terms;
  • Revgentic reasonably considers that your use of the Services poses a security, legal, operational or reputational risk to Revgentic, the Services, any Customer, any other user or any third party;
  • your access to the Services is withdrawn by the relevant Customer, workspace administrator or organisation through which you access the Services;
  • your use of the Services is connected to a free trial, pilot, beta, preview or other limited-access arrangement that has expired or been withdrawn; or
  • suspension or termination is required by law, regulation, court order, regulator request or a third-party service provider.

Where reasonably practicable, Revgentic will notify you of any suspension and, where the issue is capable of remedy, may restore access once the issue has been remedied to Revgentic's reasonable satisfaction.

You may stop using the Services at any time. If you use the Services through an employer, client or other organisation, or under a paid subscription purchased by another party, stopping your use of the Services does not itself terminate any Customer Agreement or subscription.

On suspension or termination of your access for any reason:

  • your right to access and use the Services will cease immediately;
  • you must stop using the Services;
  • if applicable, you must delete or remove any desktop application from any device in your possession or control; and
  • Revgentic may disable or delete your account and any associated access credentials, subject always to applicable law and any Customer Agreement.

If you access the Services through a Customer workspace or organisation account, Revgentic may also be required to follow that Customer's instructions in relation to your access, account status, content, retention and deletion.

Intellectual property

Revgentic and its licensors own all intellectual property rights in the Services, including the web app, desktop app, software, AI Features, Documentation, branding, design, content, functionality, models, workflows, know-how and related materials.

Except for the limited right to use the Services in accordance with these Terms, you are not granted any intellectual property rights in or to the Services.

You must not use Revgentic's name, logos, trade marks, service marks or branding without Revgentic's prior written consent.

If you provide comments, suggestions, ideas or feedback about the Services ("Feedback"), Revgentic may use that Feedback for any lawful business purpose, including improving, developing and commercialising its products and services, without restriction or obligation to you.

Disclaimers

Except as expressly stated in these Terms and to the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis.

Revgentic does not warrant that the Services will be uninterrupted, error-free, secure, always available, or free from defects, delays or inaccuracies.

Revgentic does not warrant that the Services, or any outputs generated through the Services, will meet your individual requirements or be suitable for your intended purpose.

Revgentic provides the Services as a tool only. You are responsible for how you use the Services, including how you use any recording, transcription, analysis, AI, integration or communication-related functionality.

Nothing in these Terms excludes any rights that cannot lawfully be excluded under applicable law.

Liability

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or fraud or fraudulent misrepresentation.

To the fullest extent permitted by law, Revgentic shall not be liable to you for any indirect, consequential, incidental, special, punitive or exemplary loss or damage, or for any loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings or business interruption.

Revgentic shall not be liable for any loss, damage, claim, cost or expense arising out of or in connection with:

  • your use of the Services in breach of these Terms or applicable law;
  • your failure to give required notices or obtain required consents, permissions or other lawful basis for your use of the Services;
  • your reliance on any AI-generated outputs, summaries, recommendations, prompts, insights or suggested actions;
  • your use of any third-party platform, application or integration in connection with the Services; or
  • any act, omission or instruction of a Customer, workspace administrator, employer or other organisation through which you access the Services.

Revgentic's maximum aggregate liability to you arising out of or in connection with these Terms or the Services shall be limited to £100.

The limitations in this clause apply whether the claim arises in contract, tort, negligence, breach of statutory duty or otherwise.

Changes to these Terms

Revgentic may update these Terms from time to time, including to reflect changes to the Services, applicable law, security requirements, third-party provider requirements or Revgentic's business processes.

If Revgentic makes a material change to these Terms, Revgentic will give you reasonable notice before the updated Terms take effect, unless the change is required sooner for legal, regulatory, security or operational reasons.

Revgentic may give notice of updated Terms by:

  • displaying a notice within the Services;
  • requiring click acceptance when you next log in or access the Services;
  • emailing the email address associated with your account; or
  • publishing the updated Terms on its website or within the Services.

If you continue to access or use the Services after the updated Terms take effect, you will be treated as having accepted the updated Terms.

If you do not agree to an update to these Terms, you must stop using the Services.

If you use the Services through an employer, client or other organisation, continued access to the Services may also depend on the relevant Customer's arrangements with Revgentic.

General terms

These Terms constitute the entire agreement between you and Revgentic in relation to your personal access to and use of the Services, except to the extent a separate Customer Agreement applies to the relevant workspace, account or subscription.

If any provision of these Terms is found by a court or authority of competent jurisdiction to be illegal, invalid or unenforceable, that provision shall be deemed modified or deleted to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No failure or delay by Revgentic in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.

You may not assign, transfer or otherwise deal with any of your rights or obligations under these Terms without Revgentic's prior written consent.

Revgentic may assign, transfer or subcontract any of its rights or obligations under these Terms, including to an affiliate or in connection with a merger, acquisition, reorganisation or sale of all or substantially all of its business or assets.

Nothing in these Terms creates any agency, partnership, joint venture, employment or fiduciary relationship between you and Revgentic.

A person who is not a party to these Terms shall have no right to enforce any term of these Terms under the Contracts (Rights of Third Parties) Act 1999.

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where applicable law requires otherwise.
